3. Use of the Marketplace

- Both Vendors and Buyers are responsible for adhering to applicable laws and regulations, including those governing the sale, purchase, and transportation of medical equipment.
4. Product Listings and Quality Assurance
- Vendors must provide accurate descriptions, images, and specifications for each product listing.
- Products listed on the Marketplace must meet relevant industry standards and certifications.
- Vendors are responsible for any inaccuracies in listings and for any warranties made in connection with their products.
5. Purchasing and Order Fulfillment
- Buyers are responsible for reviewing all product information before purchase. The Marketplace is not liable for discrepancies between product descriptions and Buyer expectations.
- Vendors are required to fulfill orders in a timely and professional manner. Delays or non-fulfillment may lead to penalties, suspension, or termination of Vendor privileges.
6. Pricing and Payments
- Prices are set by Vendors and are subject to change. Buyers agree to pay the listed price at the time of purchase.
- Payment transactions are processed through secure, Marketplace-approved channels.
- The Marketplace may collect a service fee from Vendors for each sale, which will be deducted from the payment made to the Vendor.
7. Shipping, Delivery, and Risk of Loss
- Vendors are responsible for shipping products to Buyers, including packaging, logistics, and compliance with international shipping laws if applicable.
- The risk of loss transfers to the Buyer upon delivery, unless otherwise specified in a shipping contract between the Vendor and Buyer.
8. Returns, Refunds, and Dispute Resolution
- Each Vendor is responsible for defining their return and refund policy, which must comply with applicable consumer protection laws.
- Buyers should review a Vendor’s return policy prior to purchasing.
- The Marketplace provides a dispute resolution service to mediate between Vendors and Buyers if necessary. All parties agree to attempt dispute resolution in good faith before taking legal action.
9. Compliance and Regulatory Requirements
- Vendors must ensure that all products meet regulatory standards and certifications for the regions they sell to. Non-compliant listings are subject to removal.
- Buyers are responsible for ensuring that purchased products meet their own regulatory requirements.
10. Intellectual Property
- Vendors warrant that they hold the rights to any content (e.g., product descriptions, images) they upload to the Marketplace.
- The Marketplace respects intellectual property rights and may remove content that infringes on third-party rights.
11. Limitation of Liability
- The Marketplace is an intermediary platform and is not liable for damages arising from transactions between Vendors and Buyers.
- The Marketplace is not responsible for product quality, warranty claims, or regulatory compliance of products.
12. Indemnification
- Vendors and Buyers agree to indemnify and hold the Marketplace harmless from any claims, damages, or losses arising from the use of the platform, including but not limited to regulatory non-compliance or third-party disputes.
13. Account Termination and Suspension
- The Marketplace reserves the right to terminate or suspend accounts that violate these Terms or are found engaging in fraudulent or harmful activities.
- Vendors and Buyers can also request account closure by contacting customer support.
14. Changes to Terms and Conditions
- The Marketplace reserves the right to update these Terms at any time. Users will be notified of any changes and continued use of the platform constitutes acceptance of the updated Terms.
15. Governing Law and Jurisdiction
